1. Acceptance of Terms
By using the services of CARD-Y HOLDINGS INC. ("Card-Y", "we", "us", "our"), you agree to these Terms of Service. If you do not agree, please discontinue use immediately.
Arabic Translation: An Arabic translation of these terms may be provided for convenience; however, the English version shall prevail in case of any conflict.
2. Services Provided
Non-Bank Disclosure
Card-Y is not a bank. Card and Global Account services are provided by regulated third-party partners and their issuing/banking institutions. Any deposit insurance (e.g., FDIC pass-through coverage) is provided by the partner bank and is subject to eligibility, program limits, and their terms. Card-Y does not guarantee deposit insurance.
Virtual Prepaid Cards
Card-Y provides virtual prepaid cards ("Card") for online use through our card-issuing partners. Users can top up their wallets with Egyptian Pounds (EGP) or United States Dollars (USD). Cards are valid for the period set forth in the applicable Cardholder Agreement and Fee Schedule.
Network & Issuer Rules: Use of any Card is subject to the applicable card-network rules (Mastercard) and issuing bank terms, which are incorporated by reference. In the event of conflict, issuer/network rules govern. Violations of network or issuer rules may result in transaction reversal, chargeback, or account closure.
Global Accounts
Card-Y provides virtual USD and EUR bank accounts ("Global Accounts") through our partner Bridge for receiving international payments. Global Accounts enable users to:
Receive ACH and wire transfers in USD/EUR
Access USDC cryptocurrency wallets for fund management
Transfer funds to Card-Y wallets or external accounts
Benefit from pass-through FDIC insurance (subject to partner bank eligibility and program limits)
Important: FDIC insurance is provided by Bridge's partner banks, not by Card-Y, and is subject to banking program rules and eligibility requirements.
Referral Program
Card-Y operates a multi-tier referral program allowing users to earn rewards by referring new customers to our platform. See Section 6 for complete terms.
All fees, costs, and service limitations are outlined in this document and our Knowledge Base.
3. Beta Phase Disclaimer
Certain features of our service are currently in beta testing, including but not limited to Global Accounts.
Beta Features
During beta phase, features may experience:
Service downtime or interruptions
Technical bugs or errors
Potential financial processing delays
Feature modifications or removal without advance notice
Limited customer support availability
Beta Access
Beta features require separate application and approval
CARD-Y reserves the right to accept or reject beta applications
Beta access may be revoked at any time
Features may transition from beta to production at CARD-Y's discretion
Exclusive Remedy (Beta)
For beta features, your sole and exclusive remedy for any downtime, delays, data issues, or errors is, at Card-Y's discretion, a refund of applicable fees or service credits. All other remedies are excluded to the maximum extent permitted by law.
Beta users agree to:
Provide feedback on feature functionality
Report bugs and issues promptly
Accept that beta features may have reduced service levels
Understand that data from beta features may be lost or corrupted
4. User Obligations and KYC Requirements
Know Your Customer (KYC) Verification
To use our services, users must complete identity verification through:

Government-issued identification
Proof of address
Selfie verification
Additional documentation as required
Bridge KYC Verification (for Global Accounts)
Complete Bridge's identity verification process
Accept Bridge's Terms of Service
Provide information required by Bridge for compliance
Understand that Bridge makes independent KYC decisions
Information Sharing
Your KYC information is shared with:
BridgeCard: For virtual card issuance and management
Bridge: For Global Account creation and management
Banking partners as required for service delivery
All partners are regulated financial services providers with appropriate data security certifications.
User Responsibilities
Users must:
Provide accurate and truthful information
Update information when it changes
Maintain account security (passwords, 2FA)
Comply with applicable laws in their jurisdiction
Not use services for illegal purposes
Be at least 18 years of age
Maintain only one CARD-Y account
Account Suspension
CARD-Y may suspend or terminate accounts for:
Providing false information
Suspected fraudulent activity
Violation of these terms
Regulatory or compliance concerns
Extended inactivity (see Section 9)
5. Fees and Payment
Card-Y charges fees for certain services, including card issuance, transaction processing, currency conversion, account maintenance, and deposits to Global Accounts. All applicable fees are set forth in the Fee Schedule available at our Knowledge Base and are incorporated into these Terms by reference.
Card-Y may modify the Fee Schedule from time to time in accordance with Section 15 (Modifications). Promotional offers may be made available from time to time on the terms set forth in the applicable promotion.
Fee Modifications
CARD-Y reserves the right to modify fees with:
30 Days Advance Notice: For all fee increases
Email Notification: Sent to registered email address
Right to Terminate: Users may close accounts without penalty before effective date
Grandfathering: Existing transactions at time of notice will use old fees
Refund Policy
Card issuance fees are non-refundable
Processing fees are non-refundable once transaction is completed
Unused card balance may be withdrawn to CARD-Y wallet
Account closure does not entitle users to fee refunds
6. Referral Program Terms
Overview
Card-Y may, from time to time, operate a Referral Program that offers promotional rewards to eligible users for successful referrals.
Participation, eligibility, reward structure, tier requirements, caps, and expiration are governed by the Referral Program Terms available at Card-Y's Referral Program, which are incorporated into these Terms by reference.
Referral rewards are discretionary promotional incentives and are not interest, yield, or compensation for the use or holding of funds. Card-Y may modify, suspend, or terminate the Referral Program at any time with notice as set forth in the Referral Program Terms.
Tax Reporting
Users earning rewards may have tax reporting obligations
CARD-Y may issue 1099 forms for US persons earning over $600/year
International users responsible for own tax compliance
Rewards are considered income in most jurisdictions
Program Modifications and Termination
CARD-Y reserves the right to:
Modify tier requirements with 30 days notice
Adjust reward percentages with 30 days notice
Suspend or terminate program at any time
Disqualify users for fraudulent activity
Withhold rewards pending investigation
Set maximum lifetime earnings caps
Prohibited Activities
Creating fake accounts to generate referrals
Using bots or automated systems to generate referrals
Misleading marketing about rewards or services
Self-referrals or circular referral schemes
Purchasing referrals from third parties
Spamming or unsolicited marketing
Violations result in immediate disqualification and forfeiture of unpaid rewards.
Service Provider Partnership
Global Accounts are provided through our partnership with Bridge (bridge.xyz), a licensed money services business. By using Global Accounts, you also agree to Bridge's Terms of Service and Privacy Policy.
Account Structure
Virtual Bank Accounts
USD Account: Receive ACH and wire transfers
EUR Account: Receive SEPA and international transfers
Unique routing and account numbers for each currency
FDIC insurance through Bridge's banking partners (limitations apply)
Stablecoin Wallets
Automatically created on a Solana blockchain for fund management
Used for automatic conversion from fiat to stablecoin
Required for account liquidation and transfers
Blockchain transactions are irreversible
FDIC Insurance Limitations
Pass-through FDIC insurance is provided by Bridge's partner banks subject to applicable program limits and eligibility rules

Blockchain Risks
By using Global Accounts, you acknowledge:
USDC operates on Solana blockchain (decentralized)
Blockchain transactions are permanent and irreversible
Smart contract risks (bugs, exploits, failures)
Cryptocurrency price volatility (though USDC is stablecoin)
Network congestion may delay transactions
Blockchain record is public and permanent
Account Limitations
Receiving limits: None (subject to KYC level)
Sending limits: Varies based on verification
Countries served: Limited (see Bridge documentation)
Prohibited businesses: Full list here at Bridge's documentation
Account Closure
Users may close account at any time
Must withdraw all funds before closure
Bridge may close accounts for compliance reasons
Closure does not affect other CARD-Y services
Re-opening requires new application and KYC
Regulatory Compliance
For US Persons
May trigger FATCA reporting requirements
May require FBAR filing (foreign account >$10,000)
Consult tax professional for obligations
For Non-US Persons
Subject to local financial reporting laws
May need to declare foreign accounts

8. Third-Party Service Providers
Service Provider Disclosure
CARD-Y partners with regulated third parties to deliver services:

Service: Virtual and physical card issuance
Role: Card provider and payment processor
Regulation: PCI-DSS certified
Data Shared: KYC information, transaction data
Terms: Available at bridgecard.io
Bridge (bridge.xyz)
Service: Global Accounts, USDC wallets, banking infrastructure
Role: Money services provider and cryptocurrency custodian
Regulation: Licensed money transmitter, FinCEN registered
Data Shared: KYC information, transaction history, account details

Liability Allocation (Provider Responsibility)
Each third-party provider is solely responsible for its services and compliance. Card-Y is not liable for outages, delays, errors, or data incidents caused by providers, but will use commercially reasonable efforts to:
Coordinate remediation with providers
Provide status updates to affected users
Transition services to alternative providers where feasible
Cooperate with reasonable requests for information
Service provider terms and policies are incorporated by reference. Users may need to pursue claims directly with the applicable service provider.
Service Provider Changes
CARD-Y may:
Change service providers with 30 days notice
Add new service providers as needed
Terminate provider relationships
Users continuing service after notice constitutes acceptance
Data Sharing Consent
By using CARD-Y services, you consent to:
Sharing KYC information with all service providers
Cross-border data transfers (Egypt, United States, Europe)
Service provider retention of your information per their policies
Service provider use of your data per their privacy policies
Service Disruptions
If a service provider fails or discontinues service:
CARD-Y will attempt to migrate to alternative provider
Users will be notified within 48 hours
Funds will be returned or transferred to alternative system
Service interruptions may occur during transition
CARD-Y is not liable for provider-caused losses
9. Account Management and Termination
Account Closure by User
Users may close accounts at any time by:
Withdrawing all funds from accounts and cards
Submitting closure request via email or app
Completing any pending transactions
Settling any outstanding fees or obligations
Upon closure:
Remaining balance transferred per user instructions
Account data retained for the period required by applicable law and our internal compliance policies
Referral rewards forfeited if pending/unprocessed
Account Closure by CARD-Y
CARD-Y may terminate accounts for:
Violation of these Terms of Service
Fraudulent or suspicious activity
Regulatory or compliance requirements
Extended inactivity (6+ months with zero balance)
Failure to complete KYC verification
User request
Risk management decisions
Upon termination:
30 days notice provided (unless fraud/illegal activity suspected)
User must withdraw funds within 30 days
After 30 days, balance may be escheated per local law
CARD-Y may withhold funds subject to investigation
Dormant Accounts
Accounts with no activity for 6+ months:
Cards may be automatically deleted
Balance transferred to main wallet
Monthly fees cease after card deletion
Account remains accessible for deposits/withdrawals
Statement Export: Users may request transaction history/statement export before account deletion
Deceased Users
In event of user death:
Legal representative must provide death certificate
Funds distributed per applicable law and user's will
Account closed after fund distribution
No new transactions permitted after notification
Fund Recovery
If account closed with remaining balance:
Balance sent to last known bank account or wallet
Unclaimed funds held for as required by applicable unclaimed property laws
After said period, may be escheated to applicable government
User responsible for maintaining current contact information
Holds, Reversals & Set-Off
Card-Y may delay, freeze, or reverse transactions; hold funds; or debit your wallets/rewards (including via set-off) to:
Correct errors or system malfunctions
Address chargebacks, fraud, or invalid transactions
Conduct AML/CFT reviews or sanctions screening
Comply with law-enforcement or regulatory requests
Respond to issuer/network disputes
Chargebacks & Clawbacks
If a transaction or reward is reversed, invalid, fraudulent, or funded by error, Card-Y may claw back the amount from your Rewards Wallet or main wallet. If funds are insufficient, you authorize Card-Y to:
Debit a payment method on file
Offset against future rewards or deposits
Pursue collection through legal means
Negative Balances: If clawbacks result in negative balances, you agree to promptly repay the amount owed.
Prohibited Account Uses
Users may not:
Maintain multiple accounts
Transfer accounts to other persons
Share login credentials
Use accounts for illegal purposes
Engage in money laundering or fraud
Violate sanctions or embargoes
Use services while located in restricted jurisdictions
10. Limitation of Liability
Disclaimer of Warranties
CARD-Y services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to:
Merchantability
Fitness for particular purpose
Non-infringement
Uninterrupted service
Error-free operation
Limitation of Liability
In no event will CARD-Y, its affiliates, or third-party service providers be liable for:
Direct damages
Indirect damages
Incidental damages
Special damages
Consequential damages
Lost profits
Lost data
Business interruption
arising from use or inability to use our services.
Maximum Liability Cap
CARD-Y's total liability to you for all claims shall not exceed the greater of:
$1000 USD, or
Total fees paid by you to CARD-Y in the 12 months preceding the claim
Exceptions to Limitations
Limitations do not apply to:
Gross negligence or willful misconduct by CARD-Y
Fraud or fraudulent misrepresentation
Death or personal injury caused by CARD-Y
Liability that cannot be excluded under applicable law
Service-Specific Limitations
Beta features: No liability for beta-related issues; exclusive remedy is fee refund or credit (see Section 3)
Third-party providers: No liability for provider actions; obligation limited to commercially reasonable efforts (see Section 8)
Blockchain & FX: Card-Y is not liable for irreversible blockchain transactions, price slippage, network congestion, or FX rate changes
Provider & Network Events: Card-Y is not liable for issuer, bank, network, or processor outages beyond its reasonable control
Exchange rates: No liability for market rate fluctuations or spreads
Regulatory changes: No liability for compliance-driven service changes
Our liability is limited to the maximum extent permitted by law.
11. Indemnity
You agree to indemnify, defend, and hold CARD-Y harmless from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of:
Your use of CARD-Y services
Violations of these Terms of Service
Violation of any law or regulation
Violation of third-party rights
Fraudulent or illegal activity
Any negligent or wrongful acts by you
Your referrals' actions (for referral program violations)
Tax liabilities arising from use of services
This indemnity survives termination of your account and these Terms.
12. Dispute Resolution and Arbitration
Informal Resolution
Before filing any formal dispute, you agree to contact Card-Y at [email protected] to attempt informal resolution. We will attempt to resolve disputes within 30 days of notice.
Binding Arbitration
If informal resolution fails, disputes will be resolved through binding arbitration rather than court, except for:
Small claims court matters (under $10,000)
Intellectual property disputes
Injunctive relief requests
Misuse of confidential information
Violations of card network or issuer rules
Either party may seek injunctive or equitable relief for misuse of IP, confidential information, or violations of network/issuer rules.

Governed by American Arbitration Association (AAA) rules
One arbitrator mutually selected
Arbitration conducted in Delaware (or remotely)
Each party bears own costs unless arbitrator decides otherwise

Class Action Waiver
YOU AND CARD-Y AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A CLASS MEMBER OR REPRESENTATIVE IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Opt-Out Right
You may opt out of arbitration within 30 days of accepting these Terms by emailing [email protected] with subject "Arbitration Opt-Out" and your account information. Opting out does not affect other provisions.
Statute of Limitations
Claims must be brought within one (1) year of when the claim arose or be forever barred.
13. Governing Law and Venue
Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Venue
For any disputes not subject to arbitration:
Exclusive jurisdiction: Delaware state or federal courts
You consent to personal jurisdiction in Delaware
Venue is proper in New Castle County, Delaware
Each party waives right to jury trial
International Users
Users outside the United States agree that:
Disputes governed by Delaware law (not local law)
May need to travel to Delaware for proceedings
Court orders enforceable in their jurisdiction
No conflict of law rules apply
14. Intellectual Property
CARD-Y Intellectual Property
All content, features, and functionality are owned by CARD-Y and protected by:
Copyright laws
Trademark laws
Patent laws (where applicable)
Trade secret laws
You may not:
Copy, modify, or distribute CARD-Y content
Reverse engineer the platform
Use CARD-Y trademarks without permission
Create derivative works
Frame or mirror any portion of services
License to Use Services
CARD-Y grants you limited, non-exclusive, non-transferable license to:
Access and use services for personal use
Generate referral links for authorized sharing
Download transaction statements and tax documents
License terminates upon account closure or violation of terms.
User-Generated Content
For any content you submit to CARD-Y (reviews, feedback, referral messages):
You retain ownership of your content
You grant CARD-Y worldwide, royalty-free license to use, display, and distribute
License includes right to use in marketing materials
You represent you have rights to grant this license
CARD-Y may remove content at any time
Trademark Usage
"CARD-Y", "Card-Y Global Accounts", logos, and other marks are CARD-Y trademarks. Use requires written permission except:
Factual references in news articles
Nominative fair use
Authorized referral program materials
DMCA Copyright Notices

15. Modifications to Terms
Right to Modify
CARD-Y reserves the right to modify these Terms at any time. We will provide notice of material changes through:

Notice on website homepage
Update to "Last Updated" date
Material Changes
Changes considered material include:
Fee increases
Limitation of liability changes
Dispute resolution modifications
Service availability reductions
New user obligations
User Options Upon Modification
Upon receiving notice of material changes, you may:
Accept changes by continuing to use services
Reject changes by closing account within 30 days
Account closure before effective date avoids new terms
No penalty for declining modified terms
Non-Material Changes
Non-material changes (clarifications, corrections) become effective immediately upon posting. Continued use constitutes acceptance.
Grandfathering
For fee increases:
Existing transactions use old fees until completion
Pending referral rewards calculated under old terms
Pre-paid services honored at original terms
16. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any referenced policies, constitute the entire agreement between you and CARD-Y.
Severability
If any provision is found unenforceable, remaining provisions continue in full effect, and unenforceable provision is modified to be enforceable while preserving intent.
Waiver
Failure to enforce any provision does not waive right to enforce it later. Waivers must be in writing.
Assignment
You may not assign or transfer these Terms. CARD-Y may assign to affiliates or in connection with merger, acquisition, or sale of assets.
Force Majeure
CARD-Y is not liable for failures or delays due to circumstances beyond reasonable control: acts of God, war, terrorism, pandemics, government actions, network failures, or service provider failures.

Electronic Communications Consent
You consent to receive all notices, statements, and disclosures electronically via the app or your registered email. You may withdraw consent by closing your account, subject to settlement of obligations.
Sanctions & Export Control
You represent that you are not on any sanctions list (OFAC, EU, UK, UN) and are not located in a restricted jurisdiction. You agree not to use the services in violation of U.S., EU, U.K., or UN sanctions/export laws. Card-Y may terminate or suspend services to comply with sanctions or if your risk profile changes.
Unclaimed Property
Dormant funds may be escheated to the applicable government after required notice, in accordance with unclaimed property laws.
